Restaurant Partner Agreement

1. Partnership Overview

This agreement governs the relationship between Feedo Technologies Pvt. Ltd. ("Feedo") and restaurant partners ("Partner") for the sale of surplus food through the Feedo platform.

2. Partner Obligations

2.1 Food Quality & Safety

  • Maintain all required food safety certifications (FSSAI, etc.)
  • Ensure all food items meet quality and safety standards
  • Only list food prepared on the same day
  • Follow proper food storage and handling procedures
  • Immediately remove any items that don't meet quality standards

2.2 Order Management

  • Confirm or cancel orders within 30 minutes of receipt
  • Prepare orders according to specified pickup times
  • Notify customers of any changes or cancellations immediately
  • Maintain accurate inventory on the platform

2.3 Customer Service

  • Provide friendly and professional service to all customers
  • Be available during listed operating hours
  • Respond to customer inquiries promptly
  • Handle pickup process efficiently

3. Feedo's Responsibilities

  • Provide access to the Feedo partner platform
  • Process customer payments securely
  • Handle customer support and dispute resolution
  • Provide marketing and promotional support
  • Offer training and onboarding assistance
  • Maintain platform security and reliability

4. Commission Structure

4.1 Commission Rates

  • Standard commission: 20% of order value
  • New partner rate: 15% for first 3 months
  • High-volume partners: Negotiable rates for 100+ orders/month
  • Commission includes payment processing fees

4.2 Payment Terms

  • Payments processed weekly (every Monday)
  • Direct bank transfer to registered account
  • Detailed payment reports provided
  • Minimum payout threshold: ₹500

5. Listing Requirements

5.1 Food Listings

  • Accurate descriptions of food items and quantities
  • Clear photos of food items (when possible)
  • Appropriate pricing (typically 50-70% off regular price)
  • Realistic pickup time windows
  • Proper categorization and dietary information

5.2 Restaurant Information

  • Complete and accurate restaurant profile
  • Current contact information and hours
  • High-quality restaurant photos
  • Menu information and cuisine type

6. Performance Standards

Partners are expected to maintain:

  • Order fulfillment rate: Minimum 95%
  • Customer rating: Minimum 4.0 stars
  • Response time: Within 30 minutes for order confirmations
  • Availability: Maintain listed operating hours
  • Quality consistency: Regular quality audits may be conducted

7. Prohibited Activities

Partners must not:

  • List expired or unsafe food items
  • Discriminate against customers based on any protected characteristics
  • Engage in fraudulent activities or misrepresent food items
  • Attempt to collect customer contact information for direct sales
  • Violate any local health regulations or food safety laws
  • Use the platform for any illegal activities

8. Intellectual Property

Partners grant Feedo a non-exclusive license to use restaurant name, logo, and food images for marketing purposes on the platform. Partners retain ownership of their intellectual property but allow Feedo to use it in connection with the services provided.

9. Data Protection

Both parties agree to comply with applicable data protection laws. Feedo will handle customer data according to its Privacy Policy. Partners must protect any customer information received and use it only for order fulfillment purposes.

10. Termination

10.1 Termination by Either Party

Either party may terminate this agreement with 30 days written notice.

10.2 Immediate Termination

Feedo may immediately terminate this agreement if the partner:

  • Violates food safety regulations
  • Receives consistently poor customer ratings
  • Engages in fraudulent activities
  • Fails to meet performance standards repeatedly
  • Violates any terms of this agreement

11. Liability and Insurance

Partners are responsible for maintaining appropriate business insurance, including general liability and food safety coverage. Partners indemnify Feedo against claims arising from food safety issues, customer injuries at partner locations, or partner violations of this agreement.

12. Dispute Resolution

Any disputes arising from this agreement will be resolved through binding arbitration in Mumbai, India, under Indian Arbitration and Conciliation Act, 2015. Both parties agree to attempt mediation before proceeding to arbitration.

13. Governing Law

This agreement is governed by the laws of India. Any legal proceedings will be conducted in the courts of Mumbai, Maharashtra.
